There is a battle going on at Pacifica Foundation, Inc the organization to which KPFA and four other radio stations nationwide belongs, a battle that is even more dangerous now, with the very tangible threat of fascism in the US government.

Pacifica’s non-profit status has been suspended by the State of California for failure to present necessary documentation and audits. Is this just plain incompetence of those who control Pacifica or are there other plans at play? At the same time Pacifica is under a FCC monitorship brought about because of complaints by the KPFA "Protectors" to the FCC about fundraising by WBAI in New York. This action by the KPFA "Protectors" on top of the suspension of the CA non-profit status of Pacifica puts KPFA and all Pacifica stations in jeopardy.

The governance structure of Pacifica used to be one of the most democratic in the country: both listeners and staff had equal standing thru elections of Local Station Boards (LSBs) with term limits. Each LSB oversaw each station and elected representatives to the Pacifica National Board of Directors (PNB).

Yet Pacifica’s radio stations’ history of covering issues and struggles of working people (that most US media didn’t cover ) has made it a target. The special interest groups inside KPFA (the so-called “Protectors”) and in Pacifica (“New Day”) were able to change the by-laws via sham “settlement” which would make it into a self-designated Board of Directors, disenfranchising the listeners and staff by dismantling the power of the Local Station Boards.

The purging continues: At this next KPFA LSB meeting on Saturday, September 20th, 2025 the majority “Protectors” on KPFA LSB will be holding a kangaroo “trial” to purge a dissenting member from the PNB so they can have total control of the National Board.

We are Rescue Pacifica, a group of dissenting members on the KPFA LSB and listeners and workers who are trying to keep KPFA “Protectors” from destroying Pacifica Foundation from within. Whether the suspension of non-profit status is just gross incompetence or planned destruction of Pacifica to take KPFA away from Pacifica, what is ultimately being targeted is Free Speech, and the last remaining terrestrial radio network in the US that was truly independent and listener-sponsored. Court Denies Motion to Intervene in Pacifica Legal Settlement
On July 3, 2025, the Los Angeles Superior Court issued a ruling denying a motion filed by six individuals
seeking to intervene in a recently settled legal case involving the Pacifica Foundation. They asked the court to
cancel the dismissal of the case and reject a settlement agreement that had been reached in PACIFICA
FOUNDATION INC. vs NEW DAY PACIFICA.
The court denied the motion to intervene and upheld the dismissal and settlement of the case.
The court denied their request for the following reasons:
 The court found that the case had already been properly resolved and dismissed, and there was
no longer an active lawsuit to intervene in.
 The motion to intervene was filed too late, nearly four years after the case began and after the
settlement had been negotiated, approved by the Pacifica National Board, and finalized by the court.

 Even if the case were still open, the court found that the proposed intervenors had been aware of the
litigation throughout its duration and, in some cases, were members of the Pacifica National Board
themselves. The court also determined that their interests were represented during the legal
process, especially since the Pacifica Board, of which they were a part of, had voted to authorize the
mediation and approve the settlement.
 The court stated that allowing intervention now would delay and disrupt a properly settlement
agreement that all parties had properly negotiated.
Bottom line: The court ruled that the motion to intervene and undo the settlement was untimely and without
sufficient legal grounds, therefore the motion was denied.
GENERAL MANAGER JOB POSTINGS
 We are pleased to announce that Sandy Weinmann has been appointed as the permanent
General Manager of KPFT. Sandy has been a dedicated programmer at KPFT for many years and
has served as the volunteer Interim General Manager since July 1, 2022. Under Sandy’s leadership -
and alongside a strong, talented team - the station has made a remarkable turnaround, moving from
financial distress to stability and growth. We have full confidence in the KPFT team and believe this
positive momentum will continue.
There were 17 applicants for the KPFT GM position. Each candidate was evaluated against ten core
criteria. Of the applicants, five had prior community radio experience, and two met seven or more of the
ten criteria. (See attached chart for details.)
 The application acceptance deadline has been extended to August 15, 2025 for the GM positions
at KPFA, KPFK, WBAI, and WPFW. To date, we have received the following number of applications:

through a series of phone interviews led by the Executive Director.

UPDATE ON THE PACIFICA FOUNDATION’S TAXES AND AUDIT
Pacifica’s annual audit is being conducted by Rogers & Company, an independent auditing firm based in
Virginia. The firm provides the following services:
 A combined audit of the financial statements for fiscal years 2022 and 2023. This approach was
selected to ensure timely completion of both years while reducing the cost of preparing two separate
reports.
 Preparation of IRS Form 990, as well as California Forms 199 and RRF-1, for fiscal years 2022
(completed and attached, also available for review on pacifica.org), 2023 (completed and under final
review), and 2024.

Please note: In 2023, the Audit Committee recommended retaining Rogers & Company to conduct the
audit. This recommendation was reviewed and approved by the Pacifica National Board (PNB).
Just a reminder of the distinct roles in the audit process involving the auditing firm, Pacifica management, the
Audit Committee, and the Pacifica National Board (PNB):
 The auditor is independent and does not take direction from or engage directly with individual
committee or board members.
 The auditor works in collaboration with Pacifica management, who provide the necessary data and
documentation for the financial review.
 Once the audit is complete, the auditor presents its findings to the Audit Committee, and subsequently
to the PNB.
 The Audit Committee is responsible for reviewing the prior year’s management letter to evaluate any
identified financial deficiencies and to monitor whether corrective actions are being taken.
Why is independence important?
Independent audit firms are essential to maintaining the integrity and credibility of a nonprofit’s financial
oversight. Because they have no financial or personal ties to the organization, independent auditors
can provide an unbiased review of financial statements, internal controls, and compliance. This
objectivity builds trust with donors, regulators, and the public, ensures legal and ethical accountability,
and helps the board of directors fulfill its fiduciary responsibility. Independence also prevents conflicts of
interest and strengthens governance by identifying issues that insiders may overlook.
 The audit firm has received all necessary materials from Pacifica to complete the FY22 and FY23
audits and is actively working on both.
 Simultaneously, we are submitting documentation needed to begin work on the FY24 taxes and are
expected to be completed prior to the August deadline.
For reference, attached is the “Request for Client Assistance” form, which outlines what Pacifica’s National
Business Manager must provide each year to prepare for the audit. This information is needed from all eight
units – KPFA, KPFK, KPFT, WBAI, WPFW, Pacifica Affiliates Network, Pacifica Radio Archives, Pacifica
National Office.
PACIFICA FOUNDATION SOLIDARITY PACT AND THE NFCB CONFERENCE
 We have written a solidarity pact entitled “Standing Together for Free Media and Democracy”
(attached) that was be presented to the Affiliate network at the upcoming National Federation of
Community Broadcasters convention in Salt Lake City.
 The Pacifica Affiliate Network was a sponsor of the event and hosted a networking and Q&A event for
attendees.

SAFETY PROTOCOLS THROUGH OUR NETWORK OF PACIFICA STATIONS AND AFFILIATES
At the July General Managers meeting, we were joined by Leon Kerber, a security expert from WSLR in
Sarasota, who led a timely and important discussion on station safety and security amid today’s increasingly
polarized political climate. As tensions escalate, community radio stations are confronting a range of
challenges - including threats to journalists and staff, cybersecurity risks, and concerns about the physical
safety of station facilities.
We understand the urgency of taking proactive steps to safeguard our personnel and operations across the
network. Staff from both our member and affiliate stations participated in the discussion, marking the start of an
ongoing conversation about building a culture of preparedness and protection.
This meeting represents the first step in developing a comprehensive safety plan, including protocols and
procedures tailored to the needs of our organization. (Key topics that were addressed, and next steps are
attached).

The Pacifica Foundation was founded in 1946 and is a non-profit organization providing

Pacifica is dedicated to education, free speech, peace, social justice, and cross-cultural

Pacifica’s General Managers will demonstrate the capacity to build the station's audience, financial
support, and vital role in public discourse, working with paid and volunteer staff, other volunteers,
trainees, and democratic governance, to develop effective community engagement using terrestrial

JOB SPECIFICATIONS Duties, Tasks, and Responsibilities:
The GM is hired and supervised by the Executive Director (ED) of the Pacifica Foundation. This is
an on-site, full-time exempt management position. The GM works with their station’s Local Station
Board (LSB) and Pacifica's ED in implementing the Pacifica mission and is subject to an annual
evaluation by the LSB.
The General Manager is responsible and accountable for overall management and all station
operations including programming; finance; budgeting; compliance with all necessary local, state,
and Federal laws and regulations, especially FCC compliance; technical operations; facilities

management; long-term planning; fund-raising; web and social media presence; public relations;
and personnel, supervising the staff of FTE employees and volunteer staff members. Working with
the paid and volunteer staff and a management team, the Local Station Board, and the community,
the General Manager is responsible for monitoring and guiding the station.
Financial Accountability and Responsibilities
• Maintain the fiscal integrity of the station through improving gross and net income,
listenership and membership, other fundraising activities, prudent budget management,
timely reporting, and compliance with Pacifica National Board and Pacifica National Office
policies and practices.
• Supervise preparation of a strategic annual balanced budget for the station, in
collaboration with the LSB Finance Committee, Business Manager, Pacifica's National
Business Manager and ED; obtain LSB budget approval, then National Finance Committee
(NFC) and Pacifica National Board (PNB) approval. This includes working to rebuild
financial reserves over time. The budgeting process includes proposing appropriate levels
of staffing and the amount and schedule of time spent fund-raising on-air.
• Administer the budget throughout the year, facilitating and responding to quarterly LSB
review, assuring that there are complete, timely, accurate records for the annual audit.
• Provide regular monthly reports on revenue and expenditures for oversight by the local
Finance Committee, LSB, and the National Office.
General Operations/Physical Plant
• Oversee optimal transmitter function and compliance with all necessary local, state and
Federal laws and regulations; oversee maintenance of all of the station’s re-transmission
and booster equipment throughout the region.
• Supervise physical plant maintenance in conjunction with the Chief Engineer and/or
Operations Manager in compliance with all necessary local, state and Federal laws and
regulations.
Programming
• Select a Program Director from a pool of candidates presented by the LSB.
• Ensure that program content complies with all State and Federal laws and regulations as
well as Pacifica programming policies and requirements, and that, by meeting community
needs, it enhances audience, impact, and reputation.
• Establish, maintain, and review programming goals and services in line with the Pacifica
Mission; oversee a regular process of evaluation and improvement.
• Oversee technical broadcast operations, program content, delivery, format, production
values, and schedule.
• Supervise the PD and communicate programming goals and initiatives to the staff, LSB
and listeners.
Personnel/Trade Union
• Supervise all station staff, both paid and volunteer; maintain accurate records of all staff
and their current contact information.
• Attend trade union contract negotiations, handle grievance process, and manage union
employees.
• Follow all Pacifica procedures and state and Federal laws, regarding employment
processing, recruitment, and selection, hiring, termination, and other personnel actions;

• Ensure that public safety measures are in place at the station for paid and volunteer staff,
members of the public, and visitors.

programming, and audience (data permitting) within the radio station areas.
FCC, CPB, EEO, AG Reports
• Ensure complete and timely compliance with all necessary public file reports, annual CPB
Station Activity Surveys, FCC license renewal applications, EEO mandates, charity
registration with the CA Attorney General, OSHA regulations, and/or other necessary local,
State and Federal filings.
Community Relations
• Broadcast monthly reports to the listeners with at least half the scheduled time allotted for
listener call-ins; schedule a similar report from governance, as required by Pacifica policy.
• Represent the station and Pacifica at public forums, handle media relations for the station.
• Engage in broad community outreach and audience development.
• Maintain publication of appropriate station and network information, including those
required by law (e.g., EEO) or by policy.
Development
• Lead collaborative process to develop effective strategic plans for fund-raising on- and off-
air and supervise their implementation.
• Meet with donors.
• Collaborate with national fund-raising efforts.
Internet
• Oversee development and maintenance of the station’s web services and social media
engagement.
Training
• Oversee training of paid and volunteer staff regarding policies, operations, program
quality, vocal quality, fund-raising, community engagement, and audience development.
Governance
• Serve as a non-voting ex-officio member of the Local Station Board, actively participate in
all LSB meetings; report to the LSB in person and in writing at all monthly LSB meetings
and as necessary.
• Work with the Local Elections Supervisor (LES) to implement all Pacifica governance
election procedures and policies, including outreach to and education of listener-sponsors;
maintain accurate, up-to-date records of the station's two classes of members (listener-
sponsors and staff) as required by the CA Corporations Code; and provide adequate station
resources to help ensure the election meets quorum.
• Attend Pacifica National Board meetings upon request.

Letter To Pacifica From CA AG Bonta Failure To Comply With State Non-Profit Status
Pacifica Executive Director Stephanie Wells received a number of notifications from CA Attorney General Rob Bonta that Pacifica was not complying with California requirements for Non-profit foundations. She did not inform the Pacifica National Board members and there was no serious oversight by the present majority of the Pacifica National Board and the KPFA LSB "Protectors" and supporters of KPFA management.They have illegally changed the bylaws and also refused to have a finance committee at KPFA to have proper oversight of KPFA by the Local Station Board. The Treasurer of Pacifica who is also on the Board of the KPFA LSB has been complicit in keeping information from the LSB members and the membership of KPFA. At the same time the Treasurer and his supporters have been purging dissident voices from the KPFA Local Station board following the method of Trump to remove all voices raising issues or challenging their methods.
